DEFINITIONS

"Account" means the administrative profile created when you register to use the Services, together with all sub-accounts, user seats, credentials, and settings associated with that profile.

"Acceptable Use Policy" or "AUP" means the policy governing permissible and impermissible conduct while using the Services, incorporated into these Terms by reference.

"Aggregated Data" means data or information derived from Customer Content or usage of the Services that has been de-identified and combined with data from other customers so that neither you nor any individual can be identified.

"Billing Cycle" means the recurring period (monthly or annually) for which subscription fees are charged, starting on the date you first subscribe or sign an Order Form.

"Customer Communications" means any telephone call, text message (SMS/MMS), voicemail, email, or Social DM (Instagram/Facebook) initiated, transmitted, or recorded through the Services under your Account.

"Customer Content" means all data, scripts, prompts, audio files, contact lists, text, images, or other materials uploaded to, input into, or generated through the Services by you or your end users.

"Effective Date" means the date identified at the top of these Terms (or, if blank, the earlier of the date you first access the Services or the date you accept an Order Form).

"CALLAPOLLO.AI" means the platform, software, source code, algorithms, AI models, telephony infrastructure, documentation, and other technology that comprise or support the Services, and all improvements or derivatives thereof.

"Order Form" means any ordering document, online checkout page, or service agreement (including High-Ticket Service Agreements) that references these Terms and sets out the specific Plan, pricing, setup fees, and commercial details agreed between you and CALLAPOLLO.AI

"Services" means CALLAPOLLO.AI AI-powered Sales Development Representative (SDR) platform, including voice calling, SMS automation, Social DM automation, APIs, software, and related infrastructure provided by UNPLGD LYF LLC.

1. ACCEPTANCE OF TERMS

1.1 Binding Agreement These Terms and Conditions ("Terms") form a legally binding contract between you and UNPLGD LYF LLC, DBA CALLAPOLLO.AI ("we," "us," or "our"), governing your access to and use of CALLAPOLLO.AI platform. By using the Services in any capacity—including through an online dashboard, CRM integration, or signed Order Form, you acknowledge and agree to be bound by these Terms and our Privacy Policy.

1.2 Authority and Capacity If you are accessing the Services on behalf of a business entity, you represent and warrant that you: (a) have authority to bind that entity to these Terms; (b) are at least 18 years old; and (c) have provided accurate and complete information. In that case, "you" refers to the business entity.

2. SERVICE DESCRIPTION

2.1 Overview CALLAPOLLO.AI is a "Revenue Architecture" and AI infrastructure provider. We provide automated Sales Development Representative (SDR) services via Voice, SMS, and Social Channels to help businesses speed up lead response times and increase booking rates.

2.2 Core Features Subject to these Terms, CALLAPOLLO.AI enables you to: a. Outbound/Inbound Voice – Initiate and receive AI-driven phone calls for lead qualification and booking. b. SMS Automation – Send and receive text messages for follow-up sequences. c. Social DM Automation – Automate responses and qualification via Instagram and Facebook Direct Messages. d. Analytics – Access call recordings, transcripts, and conversion metrics.

2.3 User Control & Configuration You are solely responsible for the scripts, prompts, offers, and business rules ("Configurations") you approve for the AI. CALLAPOLLO.AI performs actions based strictly on your Configurations and bears no responsibility for their commercial efficacy or compliance with your local laws.

2.4 Service Limitations a. No Emergency Calling – The Services cannot be used for emergency calls (e.g., 911). b. Carrier Restrictions – Certain destinations or carriers may be restricted based on A2P 10DLC regulations.

3. ACCOUNT REGISTRATION

3.1 Eligibility You represent and warrant that all information provided during registration is truthful, current, and complete.

3.2 Account Credentials You are responsible for safeguarding your username, password, and API keys. You accept full responsibility for all actions taken under your Account.

3.3 Business Use Only Accounts are for commercial business use only.

4. SUBSCRIPTION PLANS & BILLING

4.1 Fees and Plans Fees for the Services (including Setup Fees, Monthly Retainers, and Usage Fees) are set forth in your specific Order Form or the Pricing Page at the time of purchase.

4.2 Usage Billing (Telephony & AI Costs) Unless otherwise stated in your Order Form, telephony usage (Call Minutes, SMS Segments) and AI processing costs are billed separately from your base subscription. You agree to pay all usage fees incurred by your Account at the rates specified in your dashboard or Order Form.

4.3 Payment Authorization You authorize CALLAPOLLO.AI to charge your Payment Method for all applicable fees, taxes, and usage charges. If a payment fails, we may suspend access to the Services immediately.

4.4 No Refunds All payments are final. CALLAPOLLO.AI does not issue refunds for setup fees, subscription charges, partial billing periods, or unused services, except as explicitly stated in a specific "Performance Guarantee" agreement if applicable to your plan.

5. SMS/MMS Messaging Consent By providing your phone number and opting in to receive messages, you consent to receive SMS/MMS messages from UNPLGD LYF LLC, DBA CALLAPOLLO.AI. The CALLAPOLLO.AI SMS Program provides text messages related to demo scheduling, appointment reminders, and account updates related to our AI sales automation services.

* Standard message and data rates may apply.

* Consent to receive SMS messages is not a condition of purchase or use of our Services.

* Carriers are not liable for delayed or undelivered messages.

SMS/MMS Opt-Out & Support

Data Privacy for SMS

We do not sell, rent, or share your mobile number or SMS opt-in data with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. 6. CUSTOMER RESPONSIBILITIES & LIABILITY

6.1 Control of Communications You maintain full control over the timing, recipients, and content of all communications. You are the "Initiator" of all calls and messages for legal purposes.

6.2 Meta Platform Data If using Social DM features, you agree to strictly comply with Meta’s Platform Terms. You acknowledge that CALLAPOLLO.AI acts only as a data processor for your leads and that you are responsible for how you use that data.

6.3 Indemnification You agree to indemnify and hold harmless CALLAPOLLO.AI, UNPLGD LYF LLC, and their officers, employees, and agents from any claims, damages, losses, or penalties (including legal fees) resulting from:

* Your breach of these Terms or the AUP;

* Your violation of the TCPA, CAN-SPAM, or other consumer protection laws;

* Any content or communication you transmit through the platform.

7. DISCLAIMER OF WARRANTIES

7.1 "AS IS" Basis The Services, including all AI-generated outputs, are provided "AS IS" and "AS AVAILABLE." CALLAPOLLO.AI disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

7.2 No Revenue Guarantee While we strive to improve your speed-to-lead, CALLAPOLLO.AI does not guarantee specific revenue numbers, profit margins, or business success. Any "Guarantees" (such as the 30% Booking Increase) are governed strictly by the specific terms in your signed Service Agreement/Order Form and require full compliance with our onboarding protocols to be valid.

LIMITATION OF LIABILITY

8.1 Liability Cap To the maximum extent permitted by law, the total cumulative liability of CALLAPOLLO.AI (UNPLGD LYF LLC) for all claims arising out of these Terms shall not exceed the total fees paid by you to CALLAPOLLO.AI in the three (3) months preceding the event giving rise to the claim.

8.2 Exclusion of Damages We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, profits, or data.

9. DATA PRIVACY

9.1 Privacy Policy Your use of the Services is also governed by our Privacy Policy, available at app.callapollo.ai/privacy.

9.2 Data Ownership You own your Lead Data. We own the Aggregate Data and the AI improvements derived from system usage.

10. INTELLECTUAL PROPERTY

10.1 Ownership UNPLGD LYF LLC retains all rights, title, and interest in the CALLAPOLLO.AI Technology, including the prompts, scripts, and frameworks we build for you, unless otherwise specified in a custom "Work for Hire" agreement. You receive a license to use these assets while you are an active client.

11. TERMINATION

11.1 Termination by You You may cancel your subscription by providing written notice to [email protected]. Cancellations take effect at the end of the current Billing Cycle.

11.2 Termination by Us We may terminate your account immediately if you violate the AUP (e.g., sending spam, hate speech, or prohibited content) or fail to pay fees.

12. GOVERNING LAW

These Terms shall be governed by the laws of the United States and the State of Delaware (or your specific state of LLC registration), without regard to conflict of laws principles.

Changes to These Terms and Conditions

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated “Last updated” date.

Changes related to SMS/MMS messaging terms will also be communicated by updating this document and, where required, by sending a notice via SMS or email before the changes take effect.
